By accessing, downloading, installing, or using the Zent application ("App"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Use. If you do not agree to these terms, you must not use the App. Your continued use of the App constitutes your acceptance of these terms and any future modifications.

Data Storage and Potential Data Loss
YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT:

Data stored within the App, including but not limited to tasks, notes, schedules, routines, and any other user-generated content, may be lost, corrupted, or become inaccessible due to technical issues, software bugs, system failures, updates, or other unforeseen circumstances

Zent does not guarantee the preservation, backup, or recovery of any data stored in the App
•
You are solely responsible for maintaining independent backups of any important data
•
Zent shall not be liable for any data loss, regardless of the cause, including but not limited to server failures, software defects, security breaches, or human error
•
Technical bugs, glitches, or unexpected software behavior may occur at any time and may result in partial or complete loss of your data without prior notice

No Guarantees on Suggestions and Recommendations
THE APP PROVIDES TASK SUGGESTIONS, SCHEDULING RECOMMENDATIONS, AND PRODUCTIVITY GUIDANCE. YOU ACKNOWLEDGE AND AGREE THAT:

The prioritization and timing of task suggestions may not align with your actual needs, deadlines, or circumstances

Deadline and Project Management Disclaimer
ZENT EXPLICITLY DISCLAIMS ANY RESPONSIBILITY FOR DEADLINES, PROJECT TIMELINES, OR TIME-SENSITIVE MATTERS. YOU ACKNOWLEDGE AND AGREE THAT:

Zent is not responsible for any missed deadlines, delayed projects, or failure to complete tasks on time
•
The App's timeline suggestions, reminders, and scheduling features are provided as guidance only and may be inaccurate, incomplete, or fail to function as expected
•
You are solely responsible for managing your own deadlines, appointments, and time-sensitive obligations
•
Zent shall not be held liable for any professional, academic, financial, or personal consequences resulting from missed deadlines or delayed projects
•
The App may fail to notify you of upcoming deadlines, or notifications may be delayed, missed, or not delivered due to technical issues
•
Any reliance on the App for deadline management is at your own risk

Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ZENT, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, PARTNERS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO:

Loss of profits, revenue, data, goodwill, or other intangible losses

Damages resulting from unauthorized access to or alteration of your data
•
Damages resulting from any interruption or cessation of the App's services

Damages resulting from any bugs, viruses, or other harmful code that may be transmitted through the App

Damages resulting from any errors, omissions, or inaccuracies in the App's content or suggestions

Damages resulting from your reliance on the App for any purpose whatsoever
•
Any damages arising from missed deadlines, failed projects, or productivity losses

Indemnification
You agree to indemnify, defend, and hold harmless Zent and its officers, directors, employees, agents, partners, suppliers, and affiliates from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from your use of the App, your violation of these Terms, or your violation of any rights of any third party.

Zent reserves the right to modify, suspend, or discontinue the App or any part thereof at any time, with or without notice, and without liability to you. Zent may also modify these Terms at any time. Your continued use of the App after any modifications constitutes your acceptance of the revised Terms.
